1. Scope of Work

The Developer agrees to design and develop a website as per the agreed project requirements. Any additional features or changes not included in the initial scope will be treated as extra work and may incur additional charges.

2. Payment Terms

• A non-refundable advance payment of 50% is required before the project begins.
• The remaining 50% balance must be paid before final delivery or website launch.
• No work will commence without receipt of the advance payment.

3. Client Responsibilities

The Client agrees to:

• Provide all necessary content (text, images, branding materials) in a timely manner.
• Ensure that all provided materials do not infringe any third-party rights.
• Respond to communications within a reasonable timeframe.

4. Project Timeline

• The project timeline will begin only after:
  • Advance payment is received
  • Required content is provided
• Any delays caused by the Client will result in an extension of the delivery timeline.

5. Communication & Delays

• If the Client fails to respond for 7 consecutive days, the project will be placed on hold.
• If there is no response for 30 days, the project will be considered inactive.

6. Project Suspension & Termination

• If the project remains inactive for more than 30 days, the Developer reserves the right to terminate the project.
• All payments made up to that point are non-refundable.
• Restarting the project may require a new agreement and additional fees.

7. Revisions Policy

• The project includes up to 3 revisions.
• Additional revisions will be charged at an agreed hourly or fixed rate.

---

8. Delivery & Approval

• Upon completion, the Client will review the website.
• Final approval and remaining payment must be completed within 7 days.

---

9. Hosting & Maintenance Policy

• If the website is hosted on the Developer's server:
  • The Client must complete payment and take ownership within 90 days.
  • Failure to do so may result in suspension or deletion of the website due to ongoing costs.

10. Intellectual Property

• Full ownership of the website and its files will be transferred to the Client only after full payment is received.
• The Developer retains the right to showcase the project in their portfolio.

11. Limitation of Liability

The Developer shall not be liable for:

• Any loss of business, revenue, or data
• Delays caused by third-party services (hosting, APIs, plugins)

12. Governing Law

• For UK Clients: This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.
• For UAE Clients: This Agreement shall be governed by the applicable laws of the United Arab Emirates.

13. Dispute Resolution

• Any disputes arising under this Agreement shall first be attempted to be resolved amicably.
• If unresolved, disputes shall be subject to the jurisdiction of the relevant courts based on the Client's location (UK or UAE).

14. Acceptance

By signing below, both parties agree to the terms outlined in this Agreement.
